1. Agreement
These Terms of Service (“Terms”) are a contract between you and Vireon Dynamics (ABN 16 835 107 186) (“we”, “us”, “our”) for access to OwnerHaul at www.ownerhaul.com.auand related services (the “Service”).
By creating an account, starting a trial, or using the Service, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service.
2. Who can use OwnerHaul
- You must be at least 18 and able to form a binding contract.
- The Service is aimed at Australian owner-drivers and small haulage businesses. You are responsible for complying with Australian law (including tax and consumer law) in your own operations.
- If you use the Service for a company or partnership, you confirm you are authorised to bind that entity.
3. The Service
OwnerHaul helps you log jobs, create and send ABN tax invoices, track fuel and expenses, summarise GST for BAS preparation, view job profit estimates, and use optional AI helpers. Features may change as we improve the product.
Not professional advice. OwnerHaul is software, not an accountant, tax agent, bookkeeper, or lawyer. Figures, invoices, GST summaries, and AI suggestions can contain errors. You must check outputs before sending invoices, lodging BAS, or making business decisions. Talk to your accountant for your situation.
4. Accounts
- Provide accurate registration details and keep them updated.
- Keep your password confidential. You are responsible for activity under your account.
- Tell us promptly if you suspect unauthorised access.
- We may suspend or close accounts that are abusive, unpaid past grace periods, or that breach these Terms.
A shared demo account (if offered) is for evaluation only, may be reset, and must not be used for real customer records or production email.
5. Subscription, trial, and billing
Plan
Paid access is currently A$25 per month plus GST after a 30-day card-free trial, unless we advertise a different offer. See Pricing.
Trial
During the trial you can use the Service without a card (unless we later require one for a specific promotion). If you do not start a paid subscription before the trial ends, paid features may be limited or the account may stop syncing new paid usage as described in-product.
Billing
- Subscriptions are billed in AUD via Stripe.
- Prices are shown exclusive of GST unless stated otherwise; GST is added at checkout where applicable.
- Our ABN for the SaaS subscription is 16 835 107 186.
- You authorise recurring charges until you cancel.
Cancel
You can cancel anytime via the Stripe customer portal (from Plan / billing in the app) or by emailing ownerhaul@vireondynamics.com. Cancellation stops future renewals; you keep access until the end of the paid period already charged, unless we say otherwise.
Refunds
Fees already charged for a billing period are generally non-refundable, except where required by the Australian Consumer Law or where we agree in writing (for example a clear billing error). Nothing in these Terms excludes guarantees you cannot exclude under the Australian Consumer Law. A shorter summary is on Refunds & cancellation.
6. Your content and customer data
You retain ownership of content you enter or upload (“Your Content”), including jobs, invoices, customer details, and receipt images.
You grant us a worldwide, non-exclusive licence to host, process, transmit, and display Your Content solely to operate and improve the Service (including sending emails you request and running AI features you use).
You confirm you have the right to upload Your Content and that it does not infringe others' rights or break the law. You are the controller of your customer personal information; our Privacy Policy explains how we process it as a service provider.
Haulage tax invoices you issue use your ABN and business details — not our platform ABN. You are responsible for the accuracy of invoices and payment instructions you send.
7. Emails and messages you send
When you email or share invoices, statements, quotes, or chases through OwnerHaul, you instruct us to send those messages. You must only contact people you are allowed to contact, and comply with the Spam Act 2003 (Cth) and other applicable laws. We may rate- limit or block sending that looks abusive or harmful to deliverability.
8. Payments on invoices (Stripe Connect)
If you enable card payments on invoices, you onboard with Stripe Connect under Stripe's terms. You are the merchant of record for those haulage payments; funds are paid out under Stripe's rules. We are not a bank or payment facilitator beyond providing software integration. Bank-transfer details you publish are your responsibility.
9. Acceptable use
You must not:
- Break the law or infringe others' rights
- Upload malware, or attempt to breach or overload our systems
- Scrape, reverse engineer, or resell the Service except as allowed by law
- Use the Service to send spam or deceptive invoices
- Impersonate others or misuse another person's ABN or bank details
- Share login credentials in a way that compromises security (except a household/business arrangement you control)
- Use the shared demo for real production records
10. AI features
AI helpers are optional and may consume usage quotas. Outputs are probabilistic and may be incomplete or incorrect. Do not rely on AI alone for tax, legal, or financial decisions. Shared demo accounts may use sample/offline parsing so we do not burn paid AI or email quota.
11. Intellectual property
We (and our licensors) own OwnerHaul, including software, design, branding, and documentation. These Terms do not transfer ownership to you. You may not copy, modify, or create derivative works of the Service except as needed to use it normally.
12. Third-party services
The Service relies on third parties (for example Stripe, email delivery, hosting, AI providers). Their outages or changes can affect OwnerHaul. Their terms and privacy policies apply to their processing.
13. Availability and changes
We aim for reliable uptime but do not guarantee uninterrupted or error-free service. Maintenance, outages, and force majeure can occur. We may modify or discontinue features with reasonable notice where practical.
14. Disclaimer
To the fullest extent permitted by law, the Service is provided “as is” and “as available”. We disclaim warranties of merchantability, fitness for a particular purpose, and non-infringement, except guarantees that cannot be excluded under the Australian Consumer Law.
15. Liability
To the fullest extent permitted by law, we are not liable for indirect, incidental, special, consequential, or lost-profit damages, or for loss of data, goodwill, or business opportunity, arising from the Service or these Terms.
Our aggregate liability arising out of or relating to the Service in any 12-month period is limited to the greater of (a) the fees you paid us for the Service in that period, or (b) A$100 — except where liability cannot be limited under the Australian Consumer Law (in which case our liability is limited to resupplying the services or paying the cost of resupply, where that limitation is allowed).
16. Indemnity
You indemnify us against claims, losses, and costs arising from Your Content, your invoices or customer communications, your breach of these Terms, or your violation of law or third-party rights — except to the extent caused by our fraud or negligence.
17. Suspension and termination
You may stop using the Service anytime and cancel as in section 5. We may suspend or terminate access for breach, risk, non-payment, or if we shut down the product (with reasonable notice where practical). Provisions that should survive (including IP, liability, indemnity) survive termination.
18. Governing law
These Terms are governed by the laws of Australia. Courts in Australia have non-exclusive jurisdiction, without limiting any mandatory consumer rights you have in your state or territory.
19. Changes to these Terms
We may update these Terms by posting a new version with a new effective date. Continued use after the effective date constitutes acceptance. If you do not agree, cancel and stop using the Service.
